Terms of Service

These Terms of Service ("Terms") govern your access to and use of SimpleLogs, a logging and performance timing service provided by Aridial LLC d/b/a SimpleLogs ("we," "us," or "our"). By creating an account or using SimpleLogs in any way, you agree to be bound by these Terms. If you do not agree, do not use the service.

1. The Service

SimpleLogs provides developer observability tools including structured log ingestion, performance timing measurement, and a dashboard for analyzing that data. The service is offered via a web application and SDK packages published to npm. Features and pricing plans are described at simplelogs.io/pricing.

2. Eligibility

You must be at least 13 years old to use SimpleLogs. By using the service, you represent that you meet this age requirement. If you are using SimpleLogs on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Registration

You must register for an account to access most features of SimpleLogs. You agree to provide accurate and complete information during registration and to keep that information up to date. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at support@simplelogs.io if you suspect unauthorized access.

4. Acceptable Use

You agree not to use SimpleLogs to:

  • Violate any applicable law or regulation;
  • Infringe the intellectual property rights of any third party;
  • Transmit malware, viruses, or other malicious code;
  • Attempt to gain unauthorized access to our systems or another user's account;
  • Interfere with or disrupt the integrity or performance of the service;
  • Reverse engineer, decompile, or otherwise attempt to extract the source code of SimpleLogs;
  • Resell or sublicense access to the service without our prior written consent.

We reserve the right to suspend or terminate accounts that violate these restrictions.

5. Fees and Payment

SimpleLogs offers a free tier and paid subscription plans. Paid plans are billed in advance on a monthly basis. All payments are processed through Stripe. By providing payment information, you authorize us to charge the applicable fees to your payment method.

Plan prices and overage rates are listed on our pricing page. We reserve the right to change prices with at least 30 days' notice. If you do not cancel before the price change takes effect, you agree to the new price.

All fees are non-refundable except as required by applicable law or as otherwise stated in these Terms.

6. Your Data

You retain ownership of all log data, timing data, and other content you submit to SimpleLogs ("Customer Data"). You grant us a limited, non-exclusive license to store, process, and transmit your Customer Data solely to provide the service.

We do not use Customer Data to train AI models, sell data to third parties, or analyze your data for any purpose beyond operating and improving the service. See our Privacy Policy and AI Policy for more detail.

Upon account closure all Customer Data is permanently deleted immediately. We cannot recover data after deletion.

7. Intellectual Property

SimpleLogs and all related software, branding, and content are owned by Aridial LLC and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other intellectual property beyond the limited right to use the service as described herein.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARIDIAL LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

10. Indemnification

You agree to indemnify, defend, and hold harmless Aridial LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your use of the service or violation of these Terms.

11. Termination

You may cancel your account at any time from your account settings. We may suspend or terminate your access at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination, your right to use the service ceases immediately and your Customer Data will be permanently deleted.

12. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you via email or a prominent notice in the service at least 14 days before the changes take effect. Your continued use of the service after that date constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Georgia, and you consent to personal jurisdiction in those courts.
